Tesla seeks shareholder approval for reinstatement of Musk's $56B payout

Tesla is making headlines once again as it asks shareholders to vote on reinstating CEO Elon Musk's $56 billion compensation package that was rejected by a Delaware judge earlier this year. The company is also seeking approval to move its corporate home from Delaware to Texas. The electric car maker will hold its annual meeting on June 13 to address these issues.

In a filing with federal regulators, Tesla argued that the court's decision to void Musk's pay package was a threat to corporate democracy and stockholder rights. The judge had ruled that the compensation plan, potentially worth $55.8 billion over 10 years, was negotiated by directors who were not independent of Musk. Shareholders had originally approved the package in 2018, but the court's decision has thrown its future into question.

Chairperson Robyn Denholm defended Musk's performance, stating that he has delivered on the growth expected at the automaker. Tesla posted record deliveries of over 1.8 million electric vehicles worldwide in 2023, but the company's shares have declined significantly this year as sales of electric vehicles have softened. Musk's future compensation, including his demand to own 25% of Tesla shares to pursue artificial intelligence and robotics, remains a point of contention.

Analysts have expressed concerns about Tesla's future growth and the need for Musk to commit to being CEO for three to five years. The company's decision to cut prices on some models by as much as $20,000 has impacted its profit margins. Additionally, Tesla announced that it would be letting go of about 10% of its workforce, or approximately 14,000 employees.

Overall, Tesla's recent challenges, including the legal battle over Musk's compensation package and the company's declining stock value, have raised questions about its future direction. Shareholders will have the opportunity to voice their opinions on these issues at the upcoming annual meeting.
